These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CrystalGate ("Company," "we," "our," or "us") governing your access to and use of the CrystalGate audience intelligence platform (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
CrystalGate provides an audience intelligence platform that analyzes Meta Ads campaign data to deliver performance insights, audience segmentation analysis, and optimization recommendations. The Service connects to your Meta Ads account through official Meta APIs to access campaign data, audience information, and performance metrics. We process this data to generate visualizations, reports, and actionable insights designed to help you optimize your advertising performance.
To use the Service, you must create an account by providing accurate, current, and complete information. You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You may not create an account using false information or on behalf of someone other than yourself without authorization. We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or illegal purposes.
CrystalGate operates on a subscription-based model. We offer a seven-day free trial period that requires valid payment information. After the trial period ends, your subscription will automatically renew at the then-current subscription rate unless you cancel before the trial expires.
Billing: You authorize us to charge your provided payment method for all fees associated with your subscription. Subscription fees are billed in advance on a monthly basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
Payment Processing: We use third-party payment processors (currently Stripe) to process payments. By providing payment information, you agree to the terms and privacy policies of our payment processors.
Price Changes: We reserve the right to modify our subscription fees at any time. We will provide you with reasonable advance notice of any price changes. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period. No refunds will be provided for partial subscription periods.
To use the Service, you must connect your Meta Ads account by authorizing CrystalGate through Meta's OAuth authentication process. By connecting your account, you grant us permission to access your ad account data, campaign information, audience data, and performance metrics as necessary to provide our Service.
You represent and warrant that you have the authority to grant us access to the Meta Ads account you connect. You are responsible for ensuring that your use of the Service complies with Meta's Terms of Service and Advertising Policies. We are not responsible for any violations of Meta's policies resulting from your use of the Service.
You may disconnect your Meta Ads account at any time through your account settings. Disconnecting your account will prevent us from accessing new data but may limit the functionality of the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to violate any applicable laws or regulations, infringe upon the intellectual property rights of others, transmit malicious code or attempt to gain unauthorized access to our systems, interfere with or disrupt the Service or servers, use the Service to send spam or unsolicited communications, or scrape, harvest, or collect data from the Service using automated means.
You may not resell, redistribute, or provide access to the Service to third parties without our express written permission. You may not reverse engineer, decompile, or attempt to extract the source code of our Service.
The Service, including all content, features, functionality, software, and design, is owned by CrystalGate and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.
You retain all rights to the data you provide to the Service, including your Meta Ads data. By using the Service, you grant us a limited license to access, process, and analyze your data solely for the purpose of providing the Service to you. We may use aggregated, anonymized data derived from user data for research, analytics, and product improvement purposes.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.
We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you provide your data at your own risk.
Service Provided "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
No Guarantee of Results: While we strive to provide accurate insights and recommendations, we make no guarantees regarding the performance of your advertising campaigns or the results you may achieve by using our Service. Your advertising performance depends on many factors beyond our control.
Limitation of Liability: To the maximum extent permitted by law, CrystalGate and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
Third-Party Services: We are not responsible for the availability, accuracy, or content of third-party services, including Meta Platforms. Any issues with Meta's APIs, data accuracy, or service availability are beyond our control.
You agree to indemnify, defend, and hold harmless CrystalGate and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any rights of third parties, or your violation of any applicable laws or regulations.
These Terms remain in effect for as long as you use the Service. You may terminate your account at any time by canceling your subscription through your account settings. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, non-payment of fees, or prolonged inactivity.
Upon termination, your right to access and use the Service will immediately cease. We may delete your account data in accordance with our data retention policies. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or business operations. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
You agree to waive any right to a jury trial or to participate in a class action lawsuit. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CrystalGate regarding the Service and supersede all prior agreements and understandings.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of assets.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.
